Your use of the Sites constitutes your agreement to the terms, conditions and notice below ( " Terms of Use"). Ownership. National Pee Wee Sports League, LLC may provide areas on the National Pee Wee Sports League, LLC or NPWSL Sites, in which users may post communications. You understand that all information (including your member name or user name), data, text, software, audio, photographs, graphics, video, messages, or other materials ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such Content originated. This means that you, and not National Pee Wee Sports League, LLC or NPWSL, are entirely responsible for all Content that you upload, post, email, transmit or otherwise make available via the National Pee Wee Sports League, LLC or NPWSL  Sites. National Pee Wee Sports League, LLC or NPWSL does not control the Content posted via the National Pee Wee Sports League, LLC or NPWSL Sites and, as such, does not guarantee the accuracy, integrity or quality of such Content. You also permit any subscriber to access, display, view, store and reproduce such content for personal use.

You are responsible for your own communications and are responsible for the consequences of their posting. You may not: post copyrighted material, unless you are the copyright owner or have the permission of the copyright owner to post it; post material that reveals trade secrets, unless you own the trade secrets or have the permission of the owner; post material that infringes on any other intellectual property rights of others or on the privacy or publicity rights of others; post material that is obscene, defamatory, threatening, harassing, abusive, hateful or embarrassing to any other person or entity; post sexually-explicit material; post advertisements or solicitations of business; post chain letters or the like; or impersonate another person.

You hereby understand and agree that in most cases,  National Pee Wee Sports League, LLC or Customer, as the case may be, will be charging your designated credit card in accordance with the payment schedule of the service for which you have registered, but some service fees may accumulate on your credit card account before they are actually charged to your credit card. You further understand and agree that it is your responsibility to notify National Pee Wee Sports League, LLC and Customer of any changes to your credit card or if your credit card has expired otherwise your access to the Service may be disconnected or interrupted. All fees shall be paid in U.S. dollars.

 National Pee Wee Sports League, LLC reserves the right to change any fees (which includes but is not limited to, charging a fee for packages, options, upgrades and/or a Service for which National Pee Wee Sports League, LLC does not currently charge a fee) or billing methods at any time, provided, however, that such modifications shall not take effect earlier than thirty (30) days after National Pee Wee Sports League, LLC posts such modification on the applicable National Pee Wee Sports League, LLC or NPWSL Site(s). You may cancel your Account or any associated optional or upgraded services therefore at any time, but  National Pee Wee Sports League, LLC or NPWSL will not refund any remaining portion of your pre-paid fees and you may be charged an additional cancellation fee.

You agree to pay your Account balance on time. You also agree to pay any taxes, including sales or use taxes, resulting from your use of the Service. You are responsible and liable for any fees, including attorney and collection fees, that National Pee Wee Sports League, LLC or NPWSL and/or Customer, as the case may be, may incur in its efforts to collect any remaining balances due from you. This section titled Charges and Billing For Certain National Pee Wee Sports League, LLC or NPWSL Sites shall in no way limit any other remedies available to National Pee Wee Sports League, LLC and Customer. You also understand and agree that you will be billed for and will pay any outstanding balances if you cancel your account or your account is terminated. You must notify  National Pee Wee Sports League, LLC of any billing problems or discrepancies within sixty (60) days after they first appear on your statement. If you do not notify National Pee Wee Sports League, LLC within sixty (60) days, you waive any right to dispute such problems or discrepancies.

National Pee Wee Sports League, LLC does not represent or guarantee the truthfulness accuracy, or reliability of any communications posted by other users or endorse any opinions expressed by users. You acknowledge that any reliance on material posted by other users will be at your own risk.

 National Pee Wee Sports League, LLC does not screen communications and is not responsible for screening or monitoring material posted by users. National Pee Wee Sports League, LLC  may, at any time, in its sole discretion, remove or request the removal of any communication or material posted to this site. National Pee Wee Sports League, LLC has no liability or responsibility to users for performance or non-performance of such activities.  National Pee Wee Sports League, LLC reserves the right to terminate any user's access to this site for violating these Terms of Use or the law.

Publishers of news items do not generally obtain releases from subjects, individuals, groups or entities that are shown in their photographs or graphics or quoted in their texts. IN NO EVENT SHALL NATIONAL PEE WEE SPORTS LEAGUE, LLC, ITS AFFILIATES OR CONTENT PROVIDERS BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, SPECIAL, EXEMPLARY, INCIDENTAL, CONSEQUENTIAL OR OTHER DAMAGES OF ANY TYPE OR KIND (INCLUDING LOSS OF DATA, REVENUE, PROFITS, USE OR OTHER ECONOMIC ADVANTAGE) ARISING OUT OF OR RELATED TO THE USE, INABILITY TO USE, AUTHORIZED USE, PERFORMANCE OR NONPERFORMANCE OF THE NATIONAL PEE WEE SPORTS LEAGUE, LLC OR NPWSL SITES, REGARDLESS OF WHETHER SUCH DAMAGES ARISE IN CONTRACT, TORT, UNDER STATUTE, IN EQUITY, AT LAW OR OTHERWISE.

You agree to defend, indemnify and hold harmless National Pee Wee Sports League, LLC, its directors, officers, shareholders, parents, subsidiaries, affiliates, partners, agents, contractors, employees and licensors, from and against any and all claims, demands, losses, liabilities and/or expenses and the like (including reasonable attorneys' fees) of, relating to or arising from your use of  National Pee Wee Sports League, LLC services; your use of the National Pee Wee Sports League, LLC Sites; your violation of these Terms of Use; your breach of any warranty and/or representation made by you; content you submit, post, transmit or otherwise make available through National Pee Wee Sports League, LLC or NPWSL Sites; or any other infringement, breach and/or violation committed by you, of any right, benefit or interest of any person or entity, including without limitation, any intellectual property rights.

National Pee Wee Sports League, LLC reserves the right, in its sole discretion, to immediately and without any prior notice to suspend or terminate (i) these Terms of Use; (ii) your registration with or ability to access the National Pee Wee Sports League, LLC or NPWSL Sites and/or any other service provided to you by National Pee Wee Sports League, LLC upon; (a) any breach by you of these Terms of Use or upon any conduct by you that National Pee Wee Sports League, LLC determines to be inappropriate; (b) requests by law enforcement or other government agencies, (c) a request by you (self-initiated account deletions), (d) discontinuance or material modification to the National Pee Wee Sports League, LLC or NPWSL Sites and/or  National Pee Wee Sports League, LLC services (or any part thereof), (e) unexpected technical or security issues or problems, (f) extended periods of inactivity, (g) engagement by you in fraudulent or illegal activities, and/or (h) nonpayment of any fees owed by you in connection with the Services. Where your account or registration with National Pee Wee Sports League, LLC is terminated, you may be required to forfeit any credits, pre-paid fees, and any other amounts collected as part of your use and registration of the National Pee Wee Sports League, LLC or NPWSL Sites. National Pee Wee Sports League, LLC shall not be required to refund, redeem or pay any such amounts to you, and you shall remain liable to National Pee Wee Sports League, LLC  for any charges, fees, commitments, and obligations incurred by you prior to such termination. All records, information, messages, content and other information related to your registration and account may also be deleted by  National Pee Wee Sports League, LLC in its sole discretion without any notice or liability to you. National Pee Wee Sports League, LLC shall not be liable to you or any third party for any termination of your account, any associated account related or identifying information, or access to the National Pee Wee Sports League, LLC Sites and/or National Pee Wee Sports League, LLC  services.

These Terms of Use are governed by the laws of the United States and the Commonwealth of Pennsylvania, without giving effect to any principles of conflicts of laws. You agree that exclusive jurisdiction for any dispute with National Pee Wee Sports League, LLC, or in any way relating to or arising from your use of the National Pee Wee Sports League, LLC or NPWSL  Site and/or matters involving the Terms of Use resides solely in the courts of the Commonwealth of Pennsylvania and, in furtherance thereof, you agree and expressly consent to the exercise of personal jurisdiction in the courts of the Commonwealth of Pennsylvania in connection with any such dispute, including without limitation, any claim of or involving National Pee Wee Sports League, LLC or its affiliates, subsidiaries, employees, contractors, directors and officers. National Pee Wee Sports League, LLC reserves the right at any time and from time to time to modify, amend and/or discontinue, temporarily or permanently, these Terms of Use, the National Pee Wee Sports League, LLC or NPWSL Sites (or any part thereof), with or without notice. National Pee Wee Sports League, LLC shall not be liable to you or to any third-party for any modification, suspension or discontinuance of its services and/or any of the National Pee Wee Sports League, LLC or NPWSL Sites. The failure of National Pee Wee Sports League, LLC to insist upon or enforce strict performance by you of any provision of the Terms of Use or to exercise any right under the Terms of Use will not be considered as a waiver or relinquishment to any extent of  National Pee Wee Sports League, LLC rights to assert or rely upon any such provision or right in that or any other instance, rather, the same will be and remain in full force and effect.
